Terms and Conditions

SECTION I. DISTRIBUTION RIGHTS

National Truck Parts LLC, as the worldwide owner, manufacturer, and distributor of National Truck Parts LLC brand and other brands, reserves the right to sell, contract, or distribute the brands and products of National Truck Parts LLC using any method of distribution of its own choosing. National Truck Parts LLC does not extend any territorial or zoning restriction like state, county, or city and does not offer any exclusive distribution rights to any store, company, or distribution facility. National Truck Parts LLC reserves the right to cease and terminate contracts and refuse sales to any buyer without any notice and when buyer is delinquent on payment balance. National Truck Parts LLC reserves the right to enter into any exclusive contracts with any buyers that can meet the conditions of a prescribed promotion program.

SECTION II. RETURN POLICY

National Truck Parts LLC reserves the right to refuse any returned merchandise that does not comply with the return guidelines. All returns must have an R.M.A. number. Product returns are to be paid by the customer. All returns must be shipped back in their original packaging and are subject to a 20% restocking fee. All returns must have a copy of the original invoice and be made within 30 days of the invoice date. National Truck Parts LLC reserves the right to reject returned merchandise damaged by abuse, accident, corrosive environments, negligent, or improper installation.

SECTION III. LIMITATION OF LIABILITY

National Truck Parts LLC shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the use or performance of the products, even if advised of the possibility of such damages. National Truck Parts LLC’s total liability shall not exceed the purchase price of the products giving rise to the claim.

SECTION IV. GOVERNING LAW AND VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in Parker County, Texas. Both parties consent to the personal jurisdiction of such courts.

SECTION V. PAYMENT TERMS AND DEFAULT

Payment terms are net 30 days unless otherwise agreed to in writing. Late payments are subject to a finance charge of 1.5% per month, or the maximum rate permitted by law, whichever is lower. National Truck Parts LLC reserves the right to hold or cancel shipments for any past-due balances. Buyer agrees to pay all reasonable attorney’s fees and costs incurred in collecting any delinquent amounts.

SECTION VI. RISK OF LOSS / SHIPPING

Title and risk of loss pass to the buyer upon delivery of the products to the carrier. National Truck Parts LLC is not responsible for damage or loss in transit. All claims for loss or damage must be filed directly with the carrier by the buyer.

SECTION VII. INDEMNIFICATION

Buyer agrees to indemnify, defend, and hold harmless National Truck Parts LLC, its affiliates, officers, directors, and employees from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorney’s fees, arising from Buyer’s handling, installation, use, or resale of the products, except to the extent caused by the sole negligence or willful misconduct of National Truck Parts LLC.

SECTION VIII. FORCE MAJEURE

National Truck Parts LLC shall not be liable for any delay or failure in performance of its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, labor disputes, embargoes, shortages of materials, transportation delays, or governmental actions. In such events, performance shall be suspended for the duration of the delay, and the time for performance shall be extended accordingly.

GUARANTY AGREEMENT

This Guaranty Agreement ('Guaranty') is entered into between the Guarantor and National Truck Parts LLC, wherein the Guarantor irrevocably and unconditionally guarantees the timely payment when due of all obligations of the Guaranteed Party to National Truck Parts LLC. In the event of default by the Guaranteed Party, the Guarantor shall promptly pay to National Truck Parts LLC the amount due, including reasonable attorney’s fees incurred in enforcement. This Guaranty shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes shall be resolved exclusively in Parker County, Texas.
